Every introduction we facilitate is backed by ICC-standard legal infrastructure. Buyers know factory identities and pricing stay confidential. Factories know their direct customer relationships are protected. Agents know commissions cannot be circumvented.

This is how serious international trade has been conducted since 1936 under ICC Model Forms. It is not bureaucracy. It is the framework that makes long-term partnerships possible.

Document 1

NCNDA Agreement

Non-Circumvention Non-Disclosure between agent, factory, and buyer. 5-year protection on all introductions and confidential information.

ICC Publication No. 619 framework. Liquidated damages 5x commission on breach.

Document 2

Sales Agency Agreement

Written contract between agent and each factory. Defines territory, commission, lead registration, and tail commissions.

24-month registered-lead protection plus 12-month tail commission after termination.

Process

Lead Registration

Every buyer registered in writing with the factory before introduction. Creates a dated paper trail proving lead origin.

Email + signed acknowledgment. Standard format used per buyer.

Enforcement

ICC Arbitration

Disputes resolved under ICC arbitration rules in Paris. Awards enforceable in 168+ countries via the New York Convention.

I am Amit Hamal, founder of NepSource. I split my professional life between Nepal and Europe, with a German passport that gives me full access to EU buyer markets and the cultural fluency to negotiate on either side.

After years watching well-meaning international buyers get burned by unreliable middlemen and Nepali producers struggle to reach quality international markets, I built NepSource as a single bridge solving both problems. Direct factory relationships. On-the-ground quality control. Written agreements that protect everyone in the chain.
